NON-EXCLUSIVE AMBASSADOR AGREEMENT
This Non-Exclusive Ambassador Agreement (“Agreement”) is made between Exclusive Motion LLC, a Florida limited liability company (“Company”), and the undersigned individual (“Ambassador”).
The purpose of this Agreement is to define a non-exclusive, project-based working relationship and to establish clear expectations, professional standards, and payment handling for engagements facilitated by Exclusive Motion.
1. REPRESENTATION & PURPOSE
Exclusive Motion may engage Ambassador on a non-exclusive, project-by-project basis for bookings, events, activations, campaigns, content productions, or related engagements.
Ambassador is not signed for exclusive representation and retains the right to pursue other professional opportunities outside of Exclusive Motion, provided those opportunities do not conflict with confirmed engagements accepted through Exclusive Motion.
2. TERM
This Agreement becomes effective on the execution date submitted below and remains in effect unless terminated in accordance with this Agreement.
Each engagement offered and accepted under this Agreement constitutes a separate project-based engagementgoverned by these terms.
3. NON-EXCLUSIVE STATUS
Nothing in this Agreement grants Exclusive Motion exclusive rights over Ambassador.
Ambassador may work independently or with other parties, provided such work does not interfere with obligations accepted through Exclusive Motion.
Once an engagement is accepted, Ambassador agrees to prioritize and fulfill that engagement professionally and as scheduled.
4. PROJECT-BASED ENGAGEMENTS
Each engagement will be offered individually at the discretion of Exclusive Motion and will outline:
• Scope of work
• Timing and location
• Compensation
• Presentation or conduct expectations
Exclusive Motion is under no obligation to offer a minimum number of engagements.
Acceptance of any engagement constitutes agreement to comply fully with the terms of this Agreement for that engagement.
5. OPPORTUNITY ACCEPTANCE
Ambassador retains the right to accept or decline any offered engagement.
Once an engagement is accepted, Ambassador agrees to remain available, prepared, and aligned with the confirmed scope and schedule.
6. COMPENSATION & PAYMENT
Compensation will be disclosed prior to acceptance of each engagement and may be structured as a flat fee, day rate, event rate, or project-based payment.
All payments are processed through Exclusive Motion LLC.
Ambassador’s compensation will be disbursed within five (5) business days of Exclusive Motion’s receipt of client payment, unless otherwise stated in writing.
7. PAYMENT HANDLING
Ambassador may not accept direct payment from any client for engagements facilitated by Exclusive Motion unless expressly authorized in writing.
This structure exists to ensure accurate accounting, consistent payment handling, and professional client management.
8. CONDUCT & PROFESSIONAL STANDARDS
Ambassador agrees to conduct themselves professionally at all times.
This includes respectful interaction with clients, guests, staff, other talent, and Company representatives.
Availability, reliability, presentation, and on-site conduct directly impact future engagement opportunities with Exclusive Motion.
Exclusive Motion reserves the right to discontinue future engagements if Ambassador’s conduct negatively impacts the Company, its clients, or other affiliated talent.
9. BRAND REPRESENTATION & ON-SITE EXPECTATIONS
During any engagement facilitated by Exclusive Motion, Ambassador acknowledges that their presence reflects on the Company.
Ambassador agrees to maintain behavior and presentation that support a respectful, safe, and professional environment.
If conduct compromises the experience, client relationship, or environment, Exclusive Motion may remove Ambassador from the engagement at its discretion.
10. MEDIA, CONTENT & POSTING EXPECTATIONS
For engagements facilitated by Exclusive Motion:
• Ambassador agrees to share behind-the-scenes content when captured
• Exclusive Motion must be tagged on all platforms where such content is posted
For professional photos or videos captured during shoots or productions, Ambassador agrees to tag Exclusive Motion when posting finalized content.
No collaboration posts are required under this Agreement.
11. USE OF NAME & LIKENESS
Ambassador grants Exclusive Motion limited rights to use Ambassador’s name, image, and likeness solely for promotion of completed engagements.
All original content rights remain with Ambassador unless otherwise agreed in writing.
12. CONFIDENTIALITY
Ambassador agrees to keep confidential all non-public information learned through Exclusive Motion, including client details, rates, locations, schedules, and internal operations.
13. NON-SOLICITATION
For twelve (12) months following any engagement or introduction facilitated by Exclusive Motion, Ambassador may not solicit, negotiate, or accept work directly from any client introduced through Exclusive Motion without written approval.
All future opportunities with such clients must be routed through Exclusive Motion.
14. INDEPENDENT CONTRACTOR STATUS
Nothing in this Agreement shall be construed as creating an employment relationship, partnership, or joint venture.
Ambassador acts as an independent contractor for each accepted engagement.
15. NON-DISPARAGEMENT
Ambassador agrees not to make statements that harm or disparage Exclusive Motion, its clients, or affiliated talent.
Violation may result in immediate removal from future opportunities.
16. TERMINATION
Either party may terminate this Agreement at any time with written notice.
Termination does not affect payment obligations for completed engagements.
17. GOVERNING LAW
This Agreement is governed by and construed in accordance with the laws of the State of Florida.
18. ENTIRE AGREEMENT
This Agreement represents the entire understanding between the parties and supersedes all prior discussions related to the subject matter herein.
